1. About Telonex and these Terms

These Terms of Service (the "Terms") govern access to and use of Telonex (the "Service"), including our website, API, SDKs, documentation, and downloadable data files. By creating an account, accessing, or using the Service, you agree to these Terms.

The Service is operated by Telonex ("we", "us", or "our"). You can contact us at legal@telonex.io.

2. Definitions

  • "Data" means datasets, files (including CSV/Parquet), market metadata, trades, order book updates, quotes, indexes, and other data or content made available via the Service.
  • "API" means our application programming interfaces and any related keys, tokens, or credentials.
  • "Subscription" means a paid plan that provides expanded access to the Service.
  • "Third-Party Services" means services we use or integrate with (e.g., Google OAuth, Stripe) and any third-party platforms referenced by the Data.

3. Eligibility

You must be at least 18 years old (or the age of legal majority where you live) to use the Service. You are responsible for ensuring that your use of the Service complies with applicable laws and regulations.

4. Account registration and security

To use the Service, you must create an account. You are responsible for all activity under your account and for keeping your API key(s) and credentials confidential. You must promptly notify us of any suspected unauthorized access or security incident.

You may not share, sell, sublicense, or otherwise make your account or API key available to others. You may generate and use keys only as permitted by your plan and the Service's key management features.

5. The Service and Data sources

Telonex provides access to historical prediction-market data through an API and downloadable files. Some Data may be derived from public blockchains and some Data may be derived from off-chain sources (including exchange or platform APIs and feeds).

Telonex is an independent third-party service and is not affiliated with, endorsed by, or sponsored by any third-party platform referenced in the Data. Third-party names and marks are the property of their respective owners.

6. Licence to use the Service and Data

Subject to these Terms and your plan limits, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service and Data for your internal use (including research, analysis, and backtesting).

You may create and share derived outputs (e.g. charts, statistics, commentary, research results, or models) produced from your use of the Data, provided that you do not share the raw Data or any materially similar dataset that could substitute for the Service.

7. Restrictions

You agree not to (and not to allow any third party to):

  • share, publish, distribute, resell, rent, lease, sublicense, or otherwise make the Data available to others;
  • use the Service or Data to provide a competing product or service (including a data feed, dataset marketplace, or “data-as-a-service” offering);
  • scrape the website or documentation in a way that disrupts or burdens the Service;
  • attempt to circumvent rate limits, access controls, authentication, or usage restrictions;
  • use multiple accounts to evade limits or billing;
  • reverse engineer, decompile, or attempt to extract source code (except to the extent permitted by law);
  • interfere with or disrupt the integrity or performance of the Service;
  • use the Service for unlawful, harmful, or fraudulent purposes.

8. Fair use, rate limits, and suspension

The Service may enforce request limits, download limits, concurrency limits, and other controls. Your plan may include "fair use" policies intended to prevent abuse and protect performance for all users.

We may temporarily throttle, suspend, or restrict your access if we reasonably believe you are violating these Terms, exceeding plan limits, degrading Service performance, or posing a security risk. We may require you to rotate API keys or take other steps to restore access.

9. Plans, billing, taxes, and cancellation

Paid Subscriptions are billed in advance on a recurring basis (typically monthly) via Stripe. By starting a paid Subscription, you authorize us (and Stripe) to charge your payment method for recurring fees until you cancel.

You may cancel at any time through the customer portal. Cancellation takes effect at the end of the current billing period. Except where required by law, we do not provide refunds for partial billing periods.

Prices may change from time to time. If we change pricing for your plan, we will provide reasonable notice (for example, by email or via the Service) before the change takes effect.

Taxes (including VAT, if applicable) may be added to fees depending on your location and tax status. You are responsible for any applicable taxes not collected by us.

10. Free trials and promotional access

We may offer free trials or promotional access with limited functionality or usage caps. We may modify or end trials at any time. Trial limits are enforced, and attempting to evade trial limits is a breach of these Terms.

11. Data quality, availability, and changes

The Data and Service are provided on an "as is" and "as available" basis. We strive for accuracy and completeness, but we do not guarantee that Data will be accurate, complete, timely, uninterrupted, or error-free.

We may change, suspend, or discontinue any part of the Service (including Data formats, schemas, endpoints, or availability) at any time. Where reasonably practical, we will provide notice of material changes.

12. Intellectual property

We (and/or our licensors) own all rights, title, and interest in the Service, including software, documentation, branding, and any compilations, transformations, or value-added representations of Data we provide. Except for the limited licence granted in these Terms, no rights are granted to you.

13. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate that feedback without restriction or compensation to you.

14. Third-Party Services

The Service may rely on or integrate with Third-Party Services (including Google OAuth and Stripe). Your use of Third-Party Services is governed by their terms and policies, and we are not responsible for Third-Party Services.

15. No financial advice

The Service and Data are provided for informational, research, and analytical purposes only. Nothing in the Service constitutes financial, investment, legal, or tax advice. You are solely responsible for any decisions you make based on the Data.

16. Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be secure, uninterrupted, or error-free.

17. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.

Subject to the paragraph above, to the maximum extent permitted by law, Telonex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Service or Data.

Subject to the paragraph above, Telonex's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the amounts you paid to Telonex for the Service in the 12 months preceding the event giving rise to the claim (or, if you have not paid, £50).

18. Indemnity

You will indemnify and hold harmless Telonex from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service or Data; (b) your breach of these Terms; or (c) your violation of applicable laws or the rights of any third party.

19. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately if we reasonably believe you have breached these Terms, if required by law, or to protect the Service or other users.

Upon termination, the licences granted to you will end. Sections that by their nature should survive termination (including sections on IP, restrictions, disclaimers, limitation of liability, indemnity, and governing law) will survive.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice via email and/or through the Service. Continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

21. Governing law and jurisdiction

These Terms are governed by the laws of the United Kingdom. If you are a consumer, you may bring claims in the courts of your country of residence where mandatory consumer protections apply. Otherwise, the courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

22. Miscellaneous

  • Entire agreement. These Terms constitute the entire agreement between you and Telonex regarding the Service and supersede any prior agreements.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. A failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
